Terms and Conditions for Courses and Programmes
Delivered under 123 Global Education Ltd

1. Introduction

These Terms and Conditions govern all courses, programmes, examinations, and services provided by Spinnaker School of English (UK), delivered under 123 Global Education Ltd (“the Company”).

By enrolling in, accessing, or participating in any course or service, the student (“the Student”) agrees to be legally bound by these Terms.

2. Scope of Services

These Terms apply to all educational offerings provided by the Company, including but not limited to:

  • CPD (Continuing Professional Development) courses

  • Diploma programmes

  • TEFL courses (including 123 TEFL)

  • STEP UK Young Learners Tests

  • STEP UK Adult Proficiency Tests (including proctored exams)

  • English language and academic programmes

  • Any additional educational or certification services

3. Enrolment and Access

3.1 Enrolment is confirmed once:

  • Registration is completed (directly or via an approved agent), and

  • Payment is received, or a scholarship is granted

3.2 Course access is provided digitally via designated learning platforms.

3.3 Access credentials are:

  • Personal and non-transferable

  • The responsibility of the Student

  • Subject to suspension if misuse is detected

4. Scholarships (Full or Partial)

4.1 Scholarships may be granted at the sole discretion of the Company.

4.2 A full scholarship covers:

  • Access to course content only

4.3 A full scholarship does not include:

  • Certificates

  • Academic transcripts

  • Reports

  • Verification services

  • Any additional paid services

These must be ordered separately at the applicable fees published on the study portal.

5. Scholarship Monitoring, Inactivity and Revocation

5.1 Monitoring

All scholarship recipients are subject to ongoing activity monitoring.

5.2 Definition of Inactivity

A Student will be considered inactive if, for a continuous period of 30 calendar days, they:

  • Do not log into the platform; and/or

  • Do not access course materials; and/or

  • Do not demonstrate measurable academic progress (lesson completion, quizzes, assignments)


5.3 Monitoring and Evidence

The Company uses system-generated data, including:

  • Login records

  • Platform access logs

  • Progress tracking

These records constitute valid and binding evidence of activity or inactivity.

5.4 Warning Procedure

Before revocation:

  • One formal warning email will be issued

  • 7-day grace period will be provided

5.5 Revocation

If no meaningful activity resumes:

  • The scholarship may be revoked without further notice

  • Access may be suspended or terminated

  • The scholarship may be reallocated

5.6 Post-Revocation

  • Reinstatement is not guaranteed

  • Progress may not be recoverable

5.7 Company Discretion

The Company reserves full discretion to determine:

  • What constitutes meaningful engagement

  • Eligibility for continued scholarship

6. Course Completion and Progression

6.1 Students must meet all completion requirements, which may include:

  • Completing lessons

  • Passing assessments

  • Submitting assignments

6.2 Completion alone does not guarantee certification unless all requirements and payments are fulfilled.

6.3 Students completing scholarship courses may enrol in paid programmes.

7. Certification and Reports

7.1 Certificates, transcripts, and reports:

  • Are issued upon successful completion and payment

  • Follow timelines published on the platform

7.2 The Company may:

  • Withhold certification if requirements are unmet

  • Refuse issuance in cases of misconduct

8. Fees and Payments

8.1 Fees are published on official platforms or communicated through authorised channels.

8.2 All payments are:

  • Non-refundable once access is granted

  • Processed via approved payment systems

9. Student Conduct

Students must:

  • Use platforms responsibly

  • Not share login credentials

  • Not copy or distribute materials

  • Maintain respectful behaviour

Violations may result in:

  • Suspension or termination

  • Loss of certification eligibility

  • No refund

10. Exams and Testing (STEP UK)

10.1 Tests may include automated and proctored formats.

10.2 For proctored exams:

  • Students must comply with all security rules

  • Breaches may result in disqualification

10.3 The Company may invalidate results in cases of misconduct.

11. Agents and Third Parties

11.1 Students may be enrolled via approved agents.

11.2 In such cases:

  • Communication may be conducted through the agent

  • Documents may be issued via the agent

11.3 The Company is not responsible for:

  • Third-party miscommunication

  • Unauthorised representations

12. Platform and Technical Limitations

12.1 Services are delivered via third-party platforms.

12.2 The Company is not liable for:

  • Platform downtime

  • Technical failures

  • Access interruptions beyond its control

13. Liability Disclaimer

13.1 Services are provided “as is”.

13.2 The Company does not guarantee:

  • Employment outcomes

  • Visa approvals

  • Academic progression

13.3 Liability is limited to the value of the service provided.

14. Data Protection

14.1 Student data is used for:

  • Course delivery

  • Certification

  • Administration

14.2 Data is stored securely and not shared unlawfully.

15. Modifications

The Company may:

  • Update course content

  • Modify pricing

  • Amend these Terms

Continued use constitutes acceptance of updates.

16. Governing Law

These Terms are governed by the laws of England and Wales.
